Applications License Agreement

Licensor: Fidelity Works Ltd.

Grant of License

The Licensor hereby grants the Licensee a non-exclusive, non-transferable license to use the script (the "Software") on multiple projects within the Licensee's organization. This license does not permit the Licensee to sell, distribute, or sublicense the Software to any third party.

Permitted Uses

• The Licensee may use the Software for any number of projects within their organization.
• The Licensee may modify the Software for internal use within their projects.
• The Licensee may make copies of the Software for backup purposes only.
• The Licensee may use the Software to provide services to third parties, whether for a fee or otherwise.

Restrictions

The Licensee may not sell, distribute, or sublicense the Software, or any derivative works based on the Software, to any third party.

Support and Updates

• The Licensor will provide support and updates for the Software for one (1) year from the date of purchase.
• Support includes bug fixes, technical assistance, and access to any updates or new versions released during the support period.
• Support requests should be directed to office@fidelityworks.ro.

Ownership

The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

Termination

This license will terminate automatically if the Licensee fails to comply with any of the terms and conditions of this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies in their possession.

Disclaimer of Warranty

The Software is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall the Licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Software or the use or other dealings in the Software.

Limitation of Liability

In no event shall the Licensor's liability exceed the amount paid by the Licensee for the Software.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Romania.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.

By purchasing and using the Software, the Licensee agrees to the terms and conditions of this License Agreement.
